Licensing.
You can only install a retail or OEM copy of Windows on a couple computers. A system builder's license allows for many more, but the pricing is different and you probably have to buy a minimum quantity of licenses. And usually you just have to enter a key; you don't have to activate it with Microsoft.
Other than that, there's no software difference.

i have one from hp after they upgraded to xp sp3
(yes it's the sp2 disc, but you can update it online for no money)
ya, i've installed it on so many computers that it isn't even funny, but you do still need the registration key.
Imagine this: OEMs have a lot of bucks, so ya, they are a lot of money (good thing i got it for free because i used to work there)

Actually hardware is anything. Newegg used to give you a free cable (molex y cable) when you bought the OEM XP.
