decent only thing I have to say is

Motherboard only upgrades to 2gb of ram I would get one that would at least go to 4, but that may just be me.

PSU is only 250 watts, might want more power.

but I guess I view you at least doing some light gaming on this maybe that inst the case.

Dude. I don't think a 775 socket CPU will fit into a 945 socket Motherboard.

Ok if you would look at the specifications you would see the boards CPU Socket is Intel(LGA775), and the processor CPU Socket Type is LGA775
