ok, so for my N64 PE i got a 3.3v voltage regulator and i'm going to be using 7.2v in on the portable. so here's my question: do i need to attach anything to the regulator to dissapate heat, and if so, what can i attach it to?

I think you mean heat sink, as far as I know you wont need one. The on board power regulator the mobo uses is going to be taking its lowest input, and I dont think the resister/regulator your using will generat that much heat. Dont worry about it.

But just use p1 heat sinks on the chips if thats what your talking about
